Definition of non Profit org Company” Under Section 8 of Company Act 2013

Section 8 of Companies Act, 2013 empowers Central Government to register a special type of company as
limited company having charitable objects to promote commerce, art, science, sports, education, research, social welfare, religion, charity, protection of environment, etc., without adding to its name the words ‘Limited’,‘Private Limited’.
Such company intends to apply its profits or any income of the company for promoting the objects of the company and intends to prohibit the payment of dividend to members. The Central Government shall issue licence on such terms and conditions prescribed in the Rule 19 & 20 of Companies (Incorporation) Rules, 2014

The company registered under Section 8 shall enjoy all the privileges and subject to all the obligations of limited companies. It shall not alter the provisions of its memorandum or articles except with the previous approval of the Central Government. Further a company registered under this section may convert itself into company of any other kind only after complying with such conditions as prescribed under Rule 21 & 22 of Companies (Incorporation)Rules,2014
Sub-Section 3 of section 8 permits a firm may be a member of the company registered under section 8. An OPC cannot be incorporated or converted into a company under section 8 of the Act.
